Terms of Business for Partner Galleries of the web portal www.originalgallery.com, operated by ORIGINAL GALLERY Kft., registered office: 2900 Komárom, Kelemen László utca 1., Hungary, company reg. no.: 11-09-032049, VAT ID: HU33010362, registered in the relevant Hungarian commercial register, managing director Anzhelika Sitnikova.
ORIGINAL GALLERY Kft. is the exclusive holder of the registered trademark ORIGINAL GALLERY.
These Terms of Business are universal and apply to all member states of the European Union.
1. Introductory provisions
These Terms of Business govern the mutual rights and obligations arising from the Cooperation Agreement concluded between ORIGINAL GALLERY Kft. and the Partner Gallery.
The provisions of these Terms of Business form an integral part of the Cooperation Agreement.
1.1 Definitions
1.1.1. ORIGINAL GALLERY – the company ORIGINAL GALLERY Kft.
1.1.2. Portal – www.originalgallery.com
1.1.3. Partner Gallery – a legal entity or natural person operating a gallery who registers on the Portal completely free of charge.
1.1.4. Home Gallery – the Partner Gallery under which an Artist is registered on the Portal.
1.1.5. Other terms have the same meaning as in the Terms of Business for Artists and Buyers.
2. Registration of a Partner Gallery
Registration is completely free of charge. After completing the details and approval by the administrator, the gallery gains access to the system.
The Partner Gallery may terminate the cooperation at any time by e-mail. ORIGINAL GALLERY may terminate the cooperation immediately in the event of a breach of these terms.
3. Rights and obligations of the Partner Gallery
The Partner Gallery has the right to use the Portal free of charge to manage the Artists under its Home Gallery, and to promote and exhibit Artworks.
The Partner Gallery undertakes to:
- respect and protect the good name of ORIGINAL GALLERY,
- behave professionally and courteously towards Artists and customers,
- comply with legal regulations and these Terms of Business.
In the event of improper conduct towards Artists or customers, or damage to the good name of ORIGINAL GALLERY, ORIGINAL GALLERY is entitled to revoke access to the system immediately.
4. Commissions and payments
4.1. All transactions (sales, paid profiles, promotion, exhibitions) take place exclusively through the ORIGINAL GALLERY payment system.
4.2. Sale of Artworks by Artists under the Home Gallery
The Partner Gallery is entitled to approximately 30% of the sale price of the Artwork (after deduction of VAT and card payment transaction fees). ORIGINAL GALLERY retains a 5% commission (after deduction of VAT and card payment transaction fees). The Artist receives the remaining amount under the standard terms.
4.3. Paid Artist profile (annual Membership fee CZK 1,200 + VAT)
The Partner Gallery is entitled to 95% of the amount excluding VAT, after deduction of the bank transaction fee.
4.4. Promotion (promo) and exhibition of Artworks
The Partner Gallery is entitled to 95% of the amount excluding VAT, after deduction of the bank transaction fee.
4.5. Payout of commissions
ORIGINAL GALLERY pays the Partner Gallery the total amount of all entitlements for the past calendar month at the beginning of the following month, to the bank account provided at registration, always by the 5th day of the following month.
5. New Portal features
ORIGINAL GALLERY reserves the right to introduce new features. Some may be subject to a fee. The Partner Gallery will always be able to decide whether to activate a paid feature or remain in the free mode.
6. Protection of good name and termination of cooperation
The Partner Gallery is obliged to protect the good name of ORIGINAL GALLERY. A breach of this obligation, or inappropriate conduct towards Artists or customers, is grounds for immediate revocation of access to the system.
7. Dispute resolution and governing law
These Terms of Business and the Cooperation Agreement are governed by the laws of Hungary. Disputes will be resolved before the competent court in Hungary.
8. Final provisions
ORIGINAL GALLERY is entitled to amend these Terms of Business. Changes will be announced by e-mail at least 30 days in advance.
These Terms of Business are effective from the date of publication on the Portal.
